Marvell reportedly in advanced talks to acquire Lumentum
Marvell is reportedly in advanced talks to acquire Lumentum. A deal would bring Lumentum’s optical components and systems into Marvell’s AI networking portfolio, but price, timing and completion remain unresolved.
Marvell Technology is reportedly in advanced talks to acquire Lumentum Holdings, according to two separate news reports. Neither company has announced a transaction.
A combination would add Lumentum’s optical components and finished systems to Marvell’s chips and connectivity products for AI infrastructure. That would broaden Marvell’s reach from networking and signal-processing silicon into more of the physical equipment that moves data through AI clusters. The companies have not disclosed that portfolio expansion as a deal rationale.
One report cited a person familiar with the matter and said a deal could potentially be announced as soon as the following week. That timing was conditional. Marvell and Lumentum had not immediately responded to requests for comment. The reports did not establish a purchase price, consideration mix, financing plan, definitive agreement, regulatory timetable or completion date.
Lumentum’s annual report lists high-speed optical transceivers, laser transmitters, photonic integrated circuits, photodiodes, coherent pluggable transceivers, optical modules and optical circuit switches. Those products carry data between servers, switches and routers using light, supporting the high-capacity links required by AI and machine-learning workloads.
Marvell’s annual report describes its AI-infrastructure portfolio as spanning custom chips, Ethernet switches, optical digital signal processors, laser drivers, transimpedance amplifiers, silicon photonics, co-packaged optics, linear pluggable optics, data-center interconnect products and PCIe retimers.
The companies have already connected their products in a joint project. In March, they announced a demonstration pairing Marvell optical processors and a data-center interconnect module with Lumentum’s R300 optical circuit-switching platform for AI scale-up infrastructure.
Lumentum reported $3.014 billion in fiscal 2026 revenue, up 83.2% from the prior year. Components contributed $2.006 billion and systems $1.008 billion. Marvell reported $2.7 billion in revenue for its fiscal 2027 second quarter and said data-center sales rose 46% year over year, driven by AI-related demand across electro-optics, custom silicon, storage and switching, according to its quarterly filing.
Marvell completed its acquisition of Celestial AI in February. In the same quarterly filing, the company said Celestial AI’s Photonic Fabric platform was intended to accelerate its connectivity strategy for next-generation AI and cloud data centers.
