OpenAI discloses confidential draft S-1 to the SEC, a first step toward an IPO
OpenAI says it submitted a confidential S-1 and is announcing it pre-emptively, but has not decided on timing for any public listing.
OpenAI said on June 8, 2026 that it has submitted a confidential draft S-1 registration statement to the U.S. Securities and Exchange Commission, a formal first step toward a potential initial public offering. OpenAI announced the submission the same day it launched its Economic Research Exchange.
OpenAI framed the disclosure plainly. "We recently submitted a confidential S-1," the company said, adding that it expects the news to leak and has "not decided on timing yet" — it may be a while, OpenAI said, because some things are easier to do as a private company, though the step preserves the option to go public sooner if that proves best. The company said it was making the announcement pursuant to Rule 135 under the Securities Act of 1933, and that the post is not an offer to sell securities.
A confidential draft S-1 lets a company begin SEC review without publicly releasing its financials, a common path for large issuers testing the ground before committing to a listing. OpenAI did not disclose timing, a target valuation, share structure or underwriters.
An OpenAI public offering would rank among the most closely watched in the technology sector given the company's scale, though the structure of any listing — including how its capped-profit and nonprofit governance would carry into public markets — was not addressed in the company's statement.
