Anthropic files S-1 for proposed initial public offering
Anthropic has publicly filed its Form S-1 for a proposed IPO, moving beyond its confidential submission while the registration statement remains ineffective.
Anthropic publicly filed a Form S-1 registration statement with the U.S. Securities and Exchange Commission on October 26 for a proposed initial public offering of its Class A common stock.
That moves the process beyond Anthropic’s confidential draft submission in June. Still, the IPO has not priced, closed or begun trading. The company said the registration statement is not yet effective, so the securities cannot be sold and offers to buy cannot be accepted before it becomes effective.
Anthropic announced its confidential draft submission on June 1. At the time, it said a public offering would depend on the SEC review process, market conditions and other factors.
The company said it intends to list the Class A shares on the Nasdaq Global Select Market under the symbol ANT. The number of shares and proposed price range remain undetermined, and Anthropic has not stated an effective date, final offering date or first trading date.
