Oracle sends force-majeure notice tied to Project Jupiter

Oracle sent a force-majeure notice tied to Project Jupiter, according to accounts citing people familiar with the matter. The reported notice marks a new contractual development in the New Mexico data-center buildout. At the same time, Oracle says the campus remains on its planned schedule, and Blue Owl Capital says the project’s financial commitments have not changed.

Those accounts said the notice could allow Oracle to delay lease payments if the facility misses a 2028 target to come online. They also said Oracle was not seeking to exit as the campus’s main tenant. Neither the notice nor the underlying lease was available in the opened sources, leaving its date, precise recipient, triggering clause, scope and any cure or termination rights unverified. That means the possible payment delay and Oracle’s intentions remain reported possibilities, not confirmed contract terms.

Oracle said, “Project Jupiter remains on our planned schedule.” Blue Owl said “this notice does not change the financial commitments to this multi-year project.” The available material does not quantify Blue Owl’s commitments or explain how they would interact with a payment deferral.

The contractual development comes alongside a separate permitting process for the proposed power source next to the campus. Oracle says the data-center campus and microgrid are separate adjacent facilities run by separate companies.

Oracle’s September 14 statement said the air-permit proceeding was stayed at that time. On September 17, the New Mexico Supreme Court denied the related petition and lifted the stay.
