Anthropic names eight brokers for proposed Australian retail IPO offer
Anthropic has named eight intermediaries expected to take part in a proposed Australian retail share offer. The prospectus has not been lodged and applications are not open.
Anthropic has named eight brokers and financial intermediaries expected to take part in a proposed Australian retail share offer linked to its planned US initial public offering. The company says the offer would comprise newly issued Class A shares if the IPO proceeds, but Australian investors cannot apply on the basis of the current notice.
The company’s broker notice lists Bell Potter, CommSec, LGT Wealth, Macquarie, Morgans, Morgan Stanley Wealth Management, Sharesies and Stake. Anthropic describes them as expected participants, not distributors for an offer that is already open.
Anthropic says an Australian prospectus is to be lodged with the Australian Securities and Investments Commission and made available when the retail offer opens. Prospective applicants would need to read the prospectus and complete the application form contained in or accompanying it, following the prospectus process and their broker’s instructions. The current notice says it is not an offer, invitation, solicitation or recommendation to acquire shares.
That sequence also reflects ASIC’s fundraising rules, which state that a fundraising disclosure document must be lodged before it can be used to raise funds. Anthropic has not disclosed an Australian allocation, offer price, opening date or detailed eligibility rules.
Anthropic plans to list the shares on the Nasdaq Global Select Market rather than pursue a dual US-Australia listing. The company says it has applied to trade its Class A common stock under the ticker ANT and will not apply for a listing on the Australian Securities Exchange.
The broker list adds Australian distribution detail to Anthropic’s earlier public S-1 filing. Anthropic filed an amended Form S-1 with the US Securities and Exchange Commission on November 2. The preliminary filing says a public sale can begin only after the registration statement becomes effective and remains subject to change. Anthropic’s October 26 IPO announcement said the number of shares and proposed price range had not been determined.
Anthropic says it has not authorized any other firm or platform in Australia to offer or advertise access to shares in the proposed retail offer. It will update the published list if the participants change.
